1.APPLICABILITY AND LEGAL STATUS
1.1 These Terms and Conditions (“Terms”) govern access to and use of the website [www.onebigfuture.com] (“Website”) operated by One Big Future Foundation, a company incorporated under Section 8 of the Companies Act, 2013, having its registered office at W-6, Greater Kailash Part II, New Delhi, India 110048 (“OBFF”, “Foundation”, “We”, “Us” or “Our”).
1.2 OBFF is established as a not-for-profit entity for charitable and developmental purposes, including promotion of entrepreneurship, innovation, research, capacity building and socio-economic development. In accordance with Section 8 of the Companies Act, 2013:
i. OBFF applies its profits, if any, or other income solely towards the promotion of its objects;
ii. No portion of its income or property is distributed, directly or indirectly, to its members;
iii. OBFF does not operate for private commercial profit.
1.3 These Terms constitute a legally binding agreement between OBFF and any individual or entity accessing or using the Website (“User” or “You”). By accessing or using the Website, You acknowledge and agree to these Terms.
2.NATURE OF WEBSITE AND LIMITATION OF REPRESENTATIONS
2.1 The Website is intended solely to provide general information regarding OBFF’s programs, incubation initiatives, research activities, innovation challenges, training initiatives, partnerships and institutional engagements.
2.2 Nothing contained on the Website shall constitute:
i. An offer to invest or solicit investments;
ii. An invitation to subscribe to securities;
iii. A guarantee of funding, incubation or selection;
iv. A binding grant commitment;
v. A promise of employment;
vi. A commercial franchise or profit-sharing arrangement.
2.3 OBFF does not operate as a venture capital fund, investment advisor, merchant banker, crowdfunding platform or financial intermediary. Any references to funding, grants, incubation or support are subject to separate evaluation processes and formal written agreements.
3.SECTION 8 COMPLIANCE AND APPLICATION OF FUNDS
3.1 All revenues, sponsorships, grants, consultancy fees or program fees collected through OBFF activities are applied solely toward its stated objects in compliance with Section 8 of the Companies Act, 2013.
3.2 Participation in OBFF programs does not entitle any User to:
i. Profit distribution
ii.Equity participation in OBFF;
iii. Revenue share in OBFF activities;
iv. Automatic financial assistance.
3.3 OBFF retains complete discretion in allocation of funds and program resources in accordance with its objects and regulatory obligations.
4.ELIGIBILITY AND REPRESENTATIONS
4.1 By accessing or using the Website, You represent and warrant that You are at least eighteen (18) years of age, are competent to contract under applicable law, and are not disqualified or otherwise legally restricted from entering into binding agreements under the laws of India or any other applicable jurisdiction.
4.2 If You are accessing or using the Website on behalf of a company, startup, educational institution, research body, partnership, trust, society, governmental body or any other legal entity (“Entity”), You represent and warrant that You are duly authorized to act on behalf of such Entity and to bind the Entity to these Terms. You further agree that both You and the Entity shall be jointly and severally responsible for compliance with these Terms.
4.3 You represent and warrant that all information, materials, submissions, documents, pitch decks, research content, multimedia materials or other data provided by You:
i. Are accurate, complete and not misleading;
ii. Do not infringe or misappropriate any intellectual property rights, moral rights, trade secrets, confidentiality obligations or other proprietary rights of any third party;
iii. Are not subject to undisclosed contractual, employment, confidentiality or regulatory restrictions that would prevent lawful disclosure to OBFF;
iv. Do not contain plagiarized, defamatory, obscene, unlawful or malicious content;
v. Comply with all applicable laws, regulations and ethical standards.
4.4 You further represent and warrant that:
i. You are not subject to any sanctions, restrictions, debarment, blacklisting or regulatory prohibition under Indian law or any applicable international sanctions regime;
ii. Your participation or submission does not violate any funding, grant, employment or institutional policies applicable to You;
iii. You are not using the Website for fraudulent, deceptive, unlawful or competitive intelligence purposes.
4.5 OBFF reserves the right, at its sole and absolute discretion and without prior notice, to:
i. Reject, suspend or terminate access to the Website;
ii. Decline or discontinue consideration of any Submission;
iii. Remove or restrict any content uploaded by You;
iv. Seek appropriate legal remedies, including injunctive relief or damages, in the event of breach of these Terms or violation of applicable law.
4.6 OBFF may request additional verification, declarations or documentation to confirm eligibility, authority, ownership of intellectual property or compliance with applicable laws, and failure to provide such information may result in suspension or termination of access.
4.7 Any breach of the representations and warranties contained herein shall constitute a material breach of these Terms and may result in immediate termination of access and potential legal action.
5.SUBMISSIONS AND PROGRAM PARTICIPATION
5.1 Users may submit proposals, pitch decks, research papers, grant applications or other materials (“Submissions”). You agree and acknowledge that Submission does not create:
i. A partnership;
ii. A fiduciary relationship;
iii. An investment commitment;
iv. A grant approval;
v. A contractual obligation.
5.2 OBFF retains absolute discretion to accept, shortlist, reject or discontinue review of any Submission. Selection into any program is subject to internal review and may require execution of separate agreements.
6.INTELLECTUAL PROPERTY RIGHTS
6.1 All content, materials and intellectual property displayed on, published through or otherwise made available via the Website, including but not limited to text, research publications, reports, graphics, logos, designs, trademarks, service marks, trade names, photographs, audio-visual materials, software, databases, compilations, layouts, interfaces, know-how, proprietary methodologies, design thinking frameworks, incubation models, program structures and any other proprietary information (collectively, the “Content”), are the exclusive property of OBFF or are lawfully licensed to OBFF, and are protected under applicable intellectual property laws, including but not limited to copyright, trademark, patent, trade secret and other proprietary rights laws in India and applicable international jurisdictions. Nothing contained on the Website shall be construed as granting, whether by implication, estoppel or otherwise, any license, right, title or interest in or to any intellectual property of OBFF or its licensors, except as expressly set forth herein.
6.2 Subject to strict compliance with these Terms, OBFF grants Users a limited, revocable, non-exclusive, non-transferable and non-sublicensable license to access and use the Website and its Content solely for lawful, non-commercial, informational and engagement purposes directly related to OBFF’s stated objects and activities.
6.3 Users shall not, without the prior written consent of OBFF:
i. Copy, reproduce, republish, upload, post, transmit, distribute or publicly display any Content;
ii. Modify, adapt, translate, reverse engineer or create derivative works from the Content;
iii. Remove, obscure or alter any copyright, trademark or proprietary notices;
iv. Use OBFF’s name, logo, trademarks, branding elements or research outputs for promotional, commercial or misleading purposes.
v. Commercially exploit, monetize or otherwise use the Content for private gain.
6.4 Any unauthorized use, reproduction or distribution of the Content shall constitute a violation of intellectual property laws and may result in civil and/or criminal liability.
6.5 OBFF reserves all rights not expressly granted under these Terms. Unauthorized use of the Website or its Content may result in immediate termination of access and initiation of appropriate legal proceedings.
7.INDEMNITY
7.1 You hereby agree to indemnify, defend and hold harmless One Big Future Foundation (“OBFF”), its trustees, directors, officers, employees, advisors, representatives, affiliates and agents (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, penalties, fines, costs and expenses (including, without limitation, reasonable legal fees and expenses) arising out of, resulting from or in connection with:
i. Any breach or alleged breach by You of these Terms or any representations, warranties or covenants contained herein;
ii. Your violation of any applicable law, regulation or statutory obligation.
iii. Any infringement, misappropriation or violation of intellectual property rights, confidentiality obligations, privacy rights or other proprietary rights of any third party arising from materials, information or Submissions provided by You;
iv. Any misuse of the Website, its Content, programs or Services, including unauthorized access, fraudulent activity, misrepresentation or unlawful conduct;
v. Any claim brought by a third party arising from Your acts, omissions or negligence in connection with use of the Website or participation in OBFF programs.
7.2 OBFF reserves the right, at its own discretion, to assume the exclusive defence and control of any matter otherwise subject to indemnification by You, in which event You agree to fully cooperate with OBFF in asserting any available defences. The indemnification obligations set forth herein shall survive termination of these Terms and cessation of Your use of the Website.
8.INTERPRETATION WITH PRIVACY POLICY
8.1 These Terms shall be read in conjunction with OBFF’s privacy policy available at [www.onebigfuture.com/privacy-policy] and copyright policy available at [www.onebigfuture.com/copyright-policy].
8.2 By accessing or using the Website, You acknowledge that You have read and understood the Privacy Policy and consent to the collection and processing of information in accordance therewith.
8.3 In the event of any inconsistency between these Terms, privacy policy and the copyright policy, the provisions that afford greater protection to OBFF shall prevail to the extent permissible under applicable law.
8.4 Together, these Terms ,the Privacy Policy and the copyright policy constitute the entire understanding between You and OBFF with respect to use of the Website, and supersede any prior understandings, communications or representations relating thereto.
9.MODIFICATIONS
9.1 OBFF reserves the right to amend these Terms at any time. Continued use constitutes acceptance.
